Terms of Use (CGU) – GSkills v2

These General Terms of Use (hereinafter "CGU") govern access to and use of the GSkills platform accessible at the address g-skills.fr and its client subdomains (e.g. numericoach.g-skills.fr) (hereinafter "the Platform").

By accessing the Platform, you unconditionally accept these CGU. If you do not accept any of their provisions, you must cease all use of the Service.

1. Legal notices and Service publisher

• Data and storage: the Platform's data is stored and operated by Numericoach within Google Cloud Platform (GCP).
• Service location: European Union, mainly Frankfurt (Germany). AI services (Gemini) may involve processing on the provider's global infrastructure.

Numericoach remains the entity responsible for the Platform and its operation.

2. Definitions

• "User": any person accessing the Platform.
• "Client": any legal or natural person with a dedicated space (subdomain) and/or contract with Numericoach.
• "Account": the personal space allowing access to the Platform's features.
• "Content": texts, images, documents, data, prompts, AI outputs and, more broadly, any element published, transmitted or generated via the Platform.
• "Service Providers": Vercel, Google Cloud Platform, Resend, AI model providers (currently Google Gemini), and any technical subcontractor necessary for Service provision.

3. Purpose and scope of the Service

The Platform offers professional online features, including:

• management of client spaces accessible via dedicated subdomains;
• generative AI assistant and writing assistance tools;
• AI-assisted content translation;
• sending transactional emails and, where applicable, communications;
• other business modules available and subject to evolution.

Features may vary depending on the Client, configuration and Service evolution.

4. Access, availability and maintenance

Access to the Service requires an Internet connection and compatible equipment. The Platform is normally accessible 24/7, subject to maintenance operations, developments or incidents. Numericoach endeavors to notify planned interventions and limit their impact, without guaranteeing absence of interruption.

5. Account creation and security

The User guarantees the accuracy of the information provided and the confidentiality of their identifiers. Any action performed from the User's Account is deemed performed by them. The User undertakes to immediately notify any unauthorized access.

6. Use of generative AI

The Platform integrates generative AI features (models currently provided by Google Gemini) for assistance, reformulation and translation. When using these features:

• you understand that AI outputs may contain errors, approximations or biases; you must reread and validate them before use;
• you undertake not to submit illegal content, confidential without legal basis, or violating third-party rights;
• prompts and outputs may be temporarily processed by AI Service Providers to execute the functionality;
• unless otherwise indicated, Numericoach does not reuse your prompts to train its own models; however, AI Service Providers may log security metadata in accordance with their policies.

When compliance requires it, or at the Client's request, AI features may be disabled at the instance level. The User remains solely responsible for the use of generated results.

7. Data, privacy and cookies

7.1 Data controller

Numericoach acts as data controller for processing necessary for Platform operation. In some cases, Numericoach may also act as subcontractor for its Clients.

7.2 Purposes and legal basis

Data is processed to: provide the Service, administer Accounts, secure access, measure usage, improve features (including via AI), and send authorized communications. Legal bases include contract execution, legitimate interest, and consent when required (notably cookies/marketing).

7.3 Subcontractors and transfers

Data may be hosted and processed by: Vercel (hosting and distribution), Google Cloud Platform (infrastructure), Resend (emails), and other necessary service providers. Transfers outside the EU/EEA may occur; they are then framed by appropriate safeguards (standard contractual clauses, complementary measures) when required.

7.4 Retention periods

Data is retained for the duration necessary for the purposes pursued, increased by applicable legal limitations.

7.5 Individuals' rights

In accordance with GDPR, you have rights of access, rectification, erasure, limitation, opposition, portability and post-mortem directives. To exercise your rights or for any question, contact: <code>thierry@numericoach.fr</code>. You can lodge a complaint with the CNIL.

7.6 Cookies and trackers

The Platform uses cookies and similar technologies for operation, security and audience measurement. You can manage your preferences via the banner and browser settings. Refusal of certain cookies may degrade the experience.

A detailed Privacy/Cookies Policy may complement these CGU.

8. Messaging (Resend)

Transactional emails (account creation, notifications, security) and, where applicable, communications may be sent via Resend. You can unsubscribe from non-essential communications via the provided link or by contacting us. Some service notifications remain necessary for contract execution.

9. Intellectual property

The Platform and its elements (texts, graphics, logos, software, databases, AI-generated or not content) are protected by intellectual property law. Except with prior written authorization, any reproduction, representation, adaptation or exploitation is prohibited. Third-party trademarks and logos remain the property of their owners.

10. Prohibited behaviors

The following are notably prohibited: (i) use contrary to laws and regulations; (ii) intrusion, unauthorized vulnerability testing, circumvention of security measures; (iii) dissemination of illegal, defamatory, counterfeit content or violating privacy; (iv) abusive use of cloud resources, spam sending, and more generally any use likely to disrupt the Service.

11. Warranties and liabilities

The Service is provided "as is" and "as available". Numericoach implements reasonable means to ensure Service quality and continuity, without result guarantee. The User remains responsible for verifying AI outputs and any decision based thereon. Numericoach cannot be held responsible for indirect damages, loss of profits, data, or immaterial prejudice. Numericoach's total liability, for all causes combined, is limited to amounts actually paid by the Client in the last twelve (12) months, to the extent permitted by law.

12. Links and third-party services

The Platform may contain links to third-party sites or services. Numericoach assumes no responsibility for their content, practices or availability. Use of these services is subject to the conditions and policies of these third parties.

13. Service and CGU evolution

The Platform evolves regularly (new features, fixes). Numericoach may modify the CGU to reflect these evolutions, legal requirements or practices. In case of substantial change, appropriate information will be provided. Continued use of the Service after notification constitutes acceptance of the modified CGU.

14. Duration, suspension and termination

The CGU apply throughout the Platform's use. Numericoach may suspend or terminate access in case of breach, security risk or legal request. The User/Client may end use at any time; certain obligations survive termination (intellectual property, liability, confidentiality, etc.).

15. Applicable law and jurisdiction

The CGU are governed by French law. Any dispute relating to their interpretation, execution or validity falls within the jurisdiction of the Lille courts, except for rules of public order jurisdiction to the contrary.
